Introduction

This Agreement includes the Terms and Conditions of Use of the Syanpro Software (hereinafter referred to as the “Agreement” and/or “Terms and Conditions”) which constitutes a binding agreement between you and the Syanpro Software Solutions, a Saudi limited liability company with Commercial Registration No.: 1000000000.

Your subscription to the Syanpro and your use of the services it provides constitutes your review of this Agreement and your understanding and acceptance of its terms and conditions.

Definitions

Syanpro: The Syanpro Software Solutions company responsible for managing and operating the Syanpro Field Service Management Software.

Syanpro/Software/Service: Syanpro Software that provides Field Service Management Software and allows clients and users to record and save their service data and use it in the electronic form or reports.

User/Users/You: Customers who subscribe to the Syanpro Software.

Restrictions Services/Services: Services provided within the Restrictions system at a specific fee for each service.

Eligibility for services

You represent and warrant that:

  1. That your use of the Restrictions System has not been disabled or you have been prevented from using or accessing it at any time.
  2. You are not a competitor to Syanpro, nor do you offer any product that competes with the services provided by Syanpro.
  3. That you have full power and authority to contract and that you will not be in violation of any law or contract.

Undertakings and warranties

You represent and warrant that you will:

  1. Comply with all applicable laws and regulations in the Kingdom of Saudi Arabia.
  2. Provide correct and accurate information to Syanpro and update it periodically.
  3. You will review and comply with any notices sent by or posted on the Syanpro Platforms regarding your use of the Services.
  4. You will not duplicate, sublicense, issue, publish, transfer, distribute, perform, display, sell, or rebrand the Restrictions Services, or otherwise transfer or commercially exploit the Service, except as permitted under this Agreement.
  5. You will use the Service only for lawful purposes, and will not use the Services to send or store any illegal or fraudulent material.
  6. You will not use the Service to cause harm, harassment or inconvenience to anyone.
  7. Will not impede the proper operation of the restraint system.
  8. You will not attempt to harm the Service in any way.
  9. You will not copy or distribute the System, Services or other Content without written permission from Restrictions.
  10. You will keep your account password or any other means of identification we provide to you that allows access to your account secure and confidential.
  11. You will provide us with all evidence of your identity at our sole discretion.
  12. Restrictions has the right to refuse to provide the service or use the system without giving reasons.

Subscription period and access validity

  1. Your access to the Restrictions System is tied to the duration of your subscription.
  2. The subscription to the Syanpro is automatically renewed for a similar period. If you do not wish for automatic renewal, you must notify us through customer support channels or by accessing the subscription settings and selecting “Cancel Subscription” and deleting the bank card data before the end of the subscription period by a maximum of (5) business days.
  3. Syanpro has the right to block your access to the system and the data stored on it immediately upon the expiration of your subscription period and your unwillingness to renew.

Fees and Payment Terms

  1. Subscription to the Restrictions System is available according to a subscription fee specified on the pricing page.
  2. You acknowledge that your access to the Syanpro services is linked to the payment of subscription fees through payment options including electronic payment or bank transfers to our accounts.
  3. If you choose to pay the fees via electronic payment, you are responsible for the accuracy and correctness of the bank card data entered, and you acknowledge accepting the automatic deduction of the subscription renewal fees from the card. If you do not wish to automatically renew for a similar period, you must delete the bank card data from the Syanpro Software.
  4. Syanpro reserves the right to modify the subscription fees from time to time and the modifications shall be effective from the date thereof. Your continued access to the Syanpro Software constitutes acceptance of such modifications to the prices.
  5. Subscription fees for the Syanpro Software do not include subscription fees for any of Syanpro’s services.

Subscription Fee Refund Policy

The user may submit a request for a refund of the subscription fee (“Refund Request”) in accordance with the following conditions:

  1. Commitment to submitting the application within the following periods:

    Annual Subscriptions: The user has the right to submit a refund request for annual subscriptions within 30 days from the date of subscription activation.

    Monthly subscriptions: The user has the right to submit a refund request for monthly subscriptions within 7 days from the date of subscription activation.
  2. The user has the right to submit a refund request for annual or monthly subscriptions at any time if the reason is due to a technical malfunction that led to the user’s complete disruption of access to the service for a period exceeding 24 hours after notifying the technical support team of the technical malfunction.


Steps to submit a refund request

If you would like to submit a request for a refund of your subscription fees, please follow these steps:

  1. Verify your eligibility to apply according to the terms of the Subscription Fee Refund Policy.

  2. You can submit a refund request by contacting the customer support team through the dedicated channels or by accessing the subscription settings page and selecting “Cancel Subscription”.
  3. The refund request takes 3-5 business days to process from the date of submitting the request, and the processing result is one of two cases:

    Request rejection: If the application requirements are not met, the customer support team will inform you that the request has been rejected, explaining the reasons.

    Completing the request: If the application requirements are met, the customer support team will inform you that the request has been accepted and the refund process will be carried out within 7-14 business days from the date of notification.

License Scope

The Restrictions grant you a non-exclusive, non-transferable, non-assignable, non-sublicensable, irrevocable license to access and use our Services solely for the personal purpose specified in this Agreement, so you must:

  1. Not to make the Syanpro Software or its Services available, or to rent, lease, assign, resell, distribute or sublicense the System or Services to any third party.
  2. Not to modify, extract, translate, summarize, create a derivative work based on, decompile, reverse engineer, or otherwise identify, attempt to identify, or attempt to access the source code or internal design of the System or Services or any text, multimedia (images, audio, video files), data, or other information provided by Syanpro or third party service providers.
  3. Not to delete, alter, or otherwise modify any copyright or other official notices contained in the System or Services.
  4. Not to intentionally transfer, distribute, or allow the System or Services to be downloaded for use other than as specified herein.
  5. Not to claim to grant or allow access to the Service to anyone other than you.
  6. Do not allow sharing of username/password or other access credentials to the Syanpro Software.

Intellectual property rights

All intellectual property rights in the Syanpro Software, its Services and all materials related to or appearing on it (including any content you submit or post) are owned by Syanpro. You must not reproduce or permit anyone, for any reason, to use or reproduce the Services or any trademarks or other trade names appearing on the System.

Compensation

By accepting this Agreement and using the Service, you agree to defend, hold harmless and indemnify Restrictions, its affiliates, its licensors, and each of their respective officers, directors, other users, employees, attorneys and agents from and against any claims, costs, damages, losses, liabilities and expenses (including attorneys’ fees and costs) arising out of or relating to:

  1. Your violation or breach of any term of this Agreement or any applicable law or regulation, whether or not referred to in this Agreement.
  2. Your violation of any rights of third parties, including service providers under contract with restrictions.
  3. Your misuse of the Service.

Legal Responsibility

  1. The information, recommendations, services or any of them provided to you on or through the Website and Service are for general information purposes only and do not constitute advice. The Website and Service and its contents will be kept correct and up to date as much as possible, but it does not warrant that the Website or Service (the contents) are free from errors, defects, malware or viruses, nor does it warrant that the Website and Service are correct, accurate or up to date.
  2. Restrictions shall not be liable for any damages resulting from the use of (or inability to use) the Site or the Service, including damages caused by malware or viruses, nor shall it be liable for the incorrectness or incompleteness of the information or the Website or the Service, unless such damage is the result of willful misconduct or gross negligence on the part of Restrictions.
  3. Syanpro also does not bear any responsibility for any damages resulting from the use (or inability to use) of electronic means of communication with the website or with the service, including – but not limited to – damages resulting from the non-delivery of electronic communications, delay in their delivery, interception or manipulation of electronic communications by third parties or by computer programs used for electronic communications and the transmission of viruses.
  4. Syanpro strives to provide its electronic services as much as possible throughout the year, 24 hours a day/7 days a week. In any case, it does not guarantee that the Syanpro Software will operate fully throughout the year, and that there will be interruptions for the purpose of maintenance, periodic updates, or adding new features to the service.

Modify services

Restrictions reserves the right, at its sole discretion, to do the following at any time:

  1. Update or modify the Service or any materials related to it, and/or stop publishing its services. If Restrictions decides to stop publishing its services, it may, at its discretion, replace the services with other similar materials.
  2. Modify, change, suspend or discontinue the Service (including without limitation, the availability of any feature, database or content) at any time by posting a notice on the Site or by sending you notice through the Service or by email. Restrictions may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability.

Limitation of Liability

RESTRICTIONS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE SYSTEM AND ITS SERVICES, ALL OF WHICH ARE PROVIDED “AS IS”. RESTRICTIONS EXPRESSLY DISCLAIMS, TO THE FULLEST EXTENT PERMITTED BY LAW, ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO: WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, FITNESS FOR A PARTICULAR SPECIFICATIONS AND MARKETS, AND MERCHANTABILITY, AND RESTRICTIONS DOES NOT WARRANT THE ACCURACY, CONTENT, TIMELINESS OF THE SERVICES OR THE RESULTS THAT MAY OR MAY NOT BE OBTAINED BY THE USER OF THE SERVICES. IN NO EVENT SHALL RESTRICTIONS, ITS AGENTS, LICENSORS OR AFFILIATES BE LIABLE FOR DIRECT, INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO: DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION OR OTHER FINANCIAL LOSS ARISING DIRECTLY OR INDIRECTLY FROM ACCESSING, USE OF (OR FAILURE TO USE) OR RELIANCE ON THE SERVICES.

In any event, by agreeing to the terms and conditions of this Agreement, you acknowledge that the limits of Restrictions’ liability for retaining data are six months for trial subscriptions, and two years for paid subscriptions, and that Restrictions has the right thereafter to delete such data entirely from its service and dispose of it in the manner Restrictions deems appropriate.

Security

You acknowledge that you are solely responsible for the privacy of the Services and are solely responsible for the use of the Services by anyone else using your account and/or username, password or access credentials. You agree to notify Restrictions if you become aware of any loss, theft or unauthorized use of any password, username, IP address or other means of accessing the Services.

Dealing with others

While using the Website and the Service, from time to time you may be provided with links to websites owned and controlled by third parties in order to correspond with, purchase products or services from, or participate in promotions offered by third parties. These links take you outside the Website and the Service and are outside of the control of Restrictions.

While using the Website and Service, you may correspond with, purchase goods or services from, or participate in promotions from service providers, advertisers or sponsors who offer their goods or services through a link on the Website or through the Service. These links take you outside the Website and Service and are outside of the control of Restrictions. The websites to which you may link have their own terms and conditions and privacy policies. Restrictions is not responsible for, and cannot be held liable for, the content or activities of those websites. Therefore, you assume the entire risk of visiting or accessing those websites.

Please note that these other sites may send their own cookies to users, collect their data or request personal information, so we recommend that you check the terms of use and privacy policies on those sites before using them.

Termination and expiration of the agreement

  1. This Agreement shall terminate upon the expiration of your subscription to the Syanpro Software and your unwillingness to renew.
  2. You have the right to terminate the agreement by cancelling your subscription and deactivating your account by notifying us of your desire to cancel through customer support channels or by accessing the subscription settings and selecting “Cancel Subscription”.
  3. Restrictions has the right to terminate the agreement with immediate effect at any time by disabling your account and blocking your access to the system in any of the following cases:
    1. Violation or breach of any term of this Agreement.
    2. If Restrictions sees that you are abusing the system.
    3. For any other reason subject to the absolute discretion of the restrictions.

Divisibility

  1. If any of these terms and conditions is deemed invalid or unenforceable by a statutory provision or judicial ruling, this shall not affect the validity or enforceability of the remaining terms and conditions.
  2. If any provision of these Terms and Conditions is found to be invalid or unacceptable in the circumstances under the standards of reasonableness and fairness and to that extent only, it shall be replaced between the parties by a provision that is acceptable under all the circumstances and that matches the provisions of the invalid provision as closely as possible, having regard to the content and purpose of this Agreement.

Modify Terms and Conditions

These Terms and Conditions may be subject to modifications and updates from time to time and such modifications shall be effective immediately without prior notice. Your continued access to and use of the Service shall constitute your acceptance of such modifications or updates after they become effective.

Notification

Restrictions may give notice by sending a general notice on the Service, by sending an email to your mailing address on record in your Restrictions account information, or by sending a letter by regular mail to your address on record in your Restrictions account information.

Dispute settlement and the applicable system

  1. This Agreement shall be subject to the interpretation and settlement of any disputes arising therefrom in accordance with the laws in force and in effect in the Kingdom of Saudi Arabia.
  2. In the event of any dispute or conflict arising regarding the implementation or interpretation of this agreement, it shall be resolved through friendly negotiations between Syanpro and the user. If no friendly solution is reached, the dispute shall be referred to the competent court in the Kingdom of Saudi Arabia.
